These Terms & Conditions (“Terms”) govern your use of the website cpaintulsa.com (the “Site”), operated by the owner of CPA In Tulsa (“CPA In Tulsa,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
2. Description of Service
CPA In Tulsa is a free networking and referral resource that connects individuals and businesses (“Users”) with independent, licensed Certified Public Accountants and accounting professionals (“CPAs” or “Network Professionals”) operating in the greater Tulsa, Oklahoma area. We do not provide accounting, tax, audit, advisory, or any other professional services directly. Our role is limited to facilitating introductions between Users and Network Professionals based on information provided by the User.
3. No Professional Relationship; No Endorsement
Use of the Site and any matching or introduction service does not create an accountant-client relationship, a professional services agreement, or any fiduciary relationship between you and CPA In Tulsa. Any engagement you enter into with a Network Professional is a separate agreement solely between you and that professional. CPA In Tulsa does not supervise, employ, control, or guarantee the work of any Network Professional, and inclusion in our network is not an endorsement, certification, or guarantee of quality, competence, or fitness for your particular needs.
4. No Liability for Professional Services Rendered
CPA In Tulsa is not responsible or liable for the accuracy, quality, timeliness, or outcome of any accounting, tax, audit, advisory, or other professional services performed by any Network Professional. Users are solely responsible for evaluating and selecting a Network Professional suited to their needs, and for verifying that any professional holds all licenses and credentials required under Oklahoma law and applicable regulations.
5. Compensation Disclosure and Attest Services Limitation
CPA In Tulsa provides its matching and introduction service to Users free of charge. CPA In Tulsa may receive compensation, such as a percentage-based referral fee, from a Network Professional following a successful introduction or engagement.
This compensation arrangement applies only to non-attest services — including tax preparation, bookkeeping, IRS representation, and general business consulting. Consistent with the AICPA Code of Professional Conduct and applicable Oklahoma Accountancy Board rules, no referral compensation is paid or received in connection with any introduction where the Network Professional performs audit, review, compilation intended for third-party reliance, or examination of prospective financial information for the referred client.
Where a referral fee applies, the Network Professional is responsible for providing you with written disclosure of the fee arrangement — including the fact of payment and how it is calculated — at or before the start of your engagement, consistent with their professional obligations. This compensation does not result in any markup to the fees you are charged; you should expect to pay the Network Professional’s standard, reasonable rate for services rendered. You may ask us or the Network Professional directly whether a referral fee applies to your introduction.
6. Free Service; No Guarantee of Matching
Our matching and introduction service is provided to Users free of charge. We do not guarantee that we will find, recommend, or successfully connect you with a Network Professional, or that any such connection will meet your expectations or needs.
7. User Responsibilities
By using the Site, you agree to: (a) provide accurate and truthful information when requesting a match or contacting us; (b) use the Site only for lawful purposes; (c) not misrepresent your identity or affiliation; and (d) not use the Site to submit fraudulent, harassing, or abusive communications to CPA In Tulsa or any Network Professional.
8. Intellectual Property
All content on the Site, including text, graphics, logos, and design elements, is the property of CPA In Tulsa or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without prior written consent.
9. Third-Party Links and Content
The Site may contain links to third-party websites, including those of Network Professionals. We do not control and are not responsible for the content, privacy practices, or terms of any third-party site. Accessing third-party sites is at your own risk.
10. Disclaimer of Warranties
THE SITE AND ALL SERVICES PROVIDED THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CPA IN TULSA AND ITS OWNER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR ANY SERVICES PERFORMED BY A NETWORK PROFESSIONAL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
12. Indemnification
You agree to indemnify, defend, and hold harmless CPA In Tulsa and its owner from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Site, your violation of these Terms, or your engagement with any Network Professional.

These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Tulsa County, Oklahoma.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
